Company Registration Lawyer in Karachi (SECP)
Registering your company with SECP — name, MoA and AoA, incorporation, NTN and bank account.
Registering a company with SECP
A Private Limited Company registered with the Securities and Exchange Commission of Pakistan (SECP) under the Companies Act, 2017 gives you limited liability, a separate legal identity, and a structure banks, clients and investors take seriously. A Single Member Company — one shareholder and one director — is also permitted. We handle the registration from name reservation to the bank account.
Registration steps
- Name reservation — the name must not be identical or deceptively similar to an existing company; it is searched and reserved on SECP eServices.
- Memorandum and Articles of Association — the MoA sets out the name, registered office, objects and share capital; the AoA governs internal management. Both are drafted for your business, not copied from a template.
- Filing on SECP eServices — MoA, AoA, particulars of directors and shareholders, directors' consent and the registered office address.
- Certificate of Incorporation — issued once the documents are in order.
- NTN — the company registers with FBR on IRIS immediately after incorporation.
- Sales tax — with FBR, or the Sindh Revenue Board for services in Sindh, where the business requires it.
- Corporate bank account — opened with the incorporation certificate, NTN and company documents.
- Employee registrations — EOBI and SESSI in Karachi if you will have employees.
Mistakes we help you avoid
- Standard template AoA that does not suit a multi-founder business
- Nominee directors or shareholders used to avoid compliance
- Operating without an NTN
- Mixing personal and company finances
- Not keeping statutory registers, minutes and annual returns
We also draft shareholder agreements to govern the relationship between founders and investors before disputes arise. Read our SECP company registration guide.
